262144 rows in Excel

Why is it if you save a workbook as an HTM file, you get 262144 rows on a sheet, when a normal workbook can't do this?

Excel 2002, OS XP.

My thinking is that if you save it as an HTML file, it no longer has the restrictions of a worksheet. Why WOULDN'T it use as many rows as necessary?
