Windows ME shutdown protection error 1

I get a message when I shut down (occasionally). At first it seems as if everything is ok, then a blue screen comes up saying, windows protection error, you need to restart your computer. Any ideas? Also sometimes it just hangs.
 
I have the same problem and was wondering if you had it figured out yet.
 
this is typically a hardware conflict when windows tries to turn every thing off before shutdown. Most common is network card. You can put this shortcut on your desktop(it works 90%of the time):

C:\WINDOWS\RUNDLL32.EXE User,ExitWindows
