WIN2Kpro Restarts when I try to Shutdown

Everytime I try and shutdown my win2k pc it shuts down then restarts back. I havn't installed anything new, and other than that the machine runs perfect.
Any suggestions or solutions would be greatly appreciated.

I have experienced this with an older machine that I had. It was a Pentium 233MMX with ASUS mobo.

Disabling power management in the BIOS fixed the issue.
 
This is a new machine with an ECS MB.
It was working perfect.
I changed the cmos battery and set all bios to default values.
I believe it is something in the win2k that has corrupted somehow.

I have just experienced the same problem with my P233 MMX Mainboard motherboard. To fix the problem, I tried disabling the Power Management options in the BIOS. However, that by itself did not work. I also had to uncheck the "Enable Advanced Power Management support" checkbox on the APM tab of the Power Options located in the Control Panel.
