We currently have sql server 2000 enterprise edition and are wanting to upgrade to sql server 2005. The thing is that we want to upgrade to the standard edition of 2005 using a cpu license. Will we be able to do this? Or will we have to just create a new instance of sql server and move the databases to it?

You can not upgrade from SQL 2000 Enterprise to SQL 2005 Stardard. You have to do a clean install.

And you'll want to be sure all the stuff you've got set up in Enterprise 2000 is compatible with Standard 2005. Remember, Standard will always have less tools than an Enterprise version, so check the feature set before you upgrade. Otherwise, you might get a nasty shock if something stops working.
