Hi Gang,
I've never installed from an upgrade CD before. I have to upgrade 2 Win 98SE systems, and 1 xp home system. My primary concern is retaining data and if possible, applications.
I have 3 copies of XP Pro upgrade CD...

Can someone offer a tutorial or walk through?
Is this an easy thing to do? I'm computer literate simply unfamiliar with the upgrade version of XP.

Be careful when you reach the partition part. It may want to format to NTFS. If it does, it very well might wipe out all the data/applications. Make sure you do a complete backup of everything you need before you proceed.

Read the check list in this MSKB.

As far as 98 is concerned you can use your XP upgrade CD to perform a clean install. This is, in my opinion, the better option, as carrying old baggage from 98 into XP is a recipe for later problems in XP. If you install clean using the upgrade CD, Setup may ask during the setup to produce a qualifying product for inspection (a 9x or XP Home CD etc.).

Either way you should backup your most valuable data, and don't forget your E-mails and any program registration and licensing codes etc.

Some of your 98 programs may not work in XP, especially CD writing software.

Make sure you are familiar with XP's Files and Settings Transfer program, it could be handy, and run the Compatibility checking program too.
