Well, Win2K won't stop working if you don't install it, but Office 2003 will need at least SP3 to run (if you don't have this already) and it will help keep your machine up to date with security fixes (but having updated mine from 3 to 4 last week, I still needed 13Mb of critical updates).

Basically its up to you.

I have always sung the praises of win2k because of it's rock solid stability. But since installing sp4, I now have to visit Task Manager many times to kill off Internet Explorer that has locked up. Apart from that, no problems.

I'll second cbs604 - IE6 suffers from more errors which it wants to tell Billy G about, but otherwise SP4 seems fine.
