Slow Shutdown?

I have recently upgraded a laptop from WINNT to Windows XP. I notice when selecting to shutdown or restart the machine from the start menu, from the time you click on what to do it will just sit there for about 2 minutes and let u carry on clicking start etc and eventually it will decide it is going to log off and shutdown, what is holding it up?

I use this for tough ones: A similar shutdown.exe is part of the Win2k reskit:
So:

. sort HAL and APM issues
. Make registry changes to accomodate slow or hung apps: . Consider using a shortcut or .bat or .cmd file utilizing the reskit or 3rd-party shutdown utilities
