server 2000 performance problem

have a windows 2000 standard edition with sp4 loaded. the hardware consists of an asus dualcpu board, two 3.0g intels installed.
3 gig of ram also installed. active directory is fine, and no apperant applications running. the server has a two drives setup with raid-1 and via a sli raid pci add on card which is asus recomends.

problem: server every couple of minutes or so simply stops for about 10 (up to 1 minute) seconds. even perfmon has a blank section during these periods. the entire server simply freezes. the task_manager also just gives out and no traces of any bad activity. antivirus is comp.assiciates, it is up todate and didn't casue issues before this started (1 month ago)
last, the event log is clean.

this happens even after a reboot, and also with lan cable disconnected so no network interraction. anyone has any suggestions? we're going bonkers over this one. thanks in advance.
 
Maybe bad memory try swapping in some new to see if that works.
 
thanks, but the memory as well as the cpu and the raid controlelr all swapped. it seems to be something withing windows behing the kernel as any of the perfmon even event_viewer has no mention of any issues.
