I have a windows 98 computer with 64 MB ram - when I run Norton systemworks, it shows that my ram is full and with no program I have open, I have over 200 files running - how can this be and how do I shut them down that do not need to run.

See this FAQ for starters Cheers,
Jim

I have done that and reduced it from over 300 files to about 260 files. some of the files I do not know what they are and what they do - what do I do?

First: to find all that is running and all that is scheduled to run at startup, go to the System Information Utility....Start>Run...type in "msinfo32" (without quotes) & press Enter. The System Information window is like Explorer....the left pane has a branching of files and highlighting one of the files shows the results in the right pane. Click the "+" next to Software Environment to expand the list. Left click Startup Programs...the right pane will show all programs scheduled to start on a bootup (it will list programs not list in msconfig). It will tell you where the command to load resides and what that command is (what program will load). Running Tasks shows all items running.

With that many applications on startup I strongly suspect that you have a lot of spyware in your system...I would think about running Spybot to get rid of a lot of this. However, to help you decide what all these programs are and if you should let them or not; please check the sites below:
