I have an existing NT 4.0 domain with some w2k server standalones, I want to upgrade to exchange 2003 and I was told it would only run in an active directory environment, I have started to build a new w2k pdc for this new domain, but I am hesitant to put it on my network for fear it may cause some issue with the existing pdc, I don’t want to migrate since we are really small under 50 users total and I have never done this before and I am looking forward to the experience of starting from the beginning.

I'd suggest migrating everything to Server 2003.

Exchange requires AD so you'll have to get it in there eventually. What I would do (and did) was rebuild the active directory box and join it to your NT domian as a PDC. After this is complete you can upgrade this box to active directory. Then you can upgrade your exsisting NT box
