Nero failing to open

uninstall the program, go to program files delete the folder and if you have registry mechanic run it to remove all registry keys. then try reinstalling it. If that doesnt work make sure the program isnt corrupted or if your installing off a cd that the cd is clean. Also see if theres any updates for it on there site and while your there might look the error up and see if they have any information on it.
like electronicsfreak mentioned, REINSTALL the app...
newest version is as far as I know, 7.0.0.x at present... might want to download that and install it... or go with the Nero 6 Reloaded (v6.6.0.16 newest)...
