Migrating from 5.5 to 2003

I'm upgrading the server OS from 2000 to 2003, and migrating Exchange from 5.5 to 2003. Does Exchange 2003 need to run on a DC or can it run on a member server? I'm going to upgrade the OS first. Exchange 5.5 to 2003 will be done on a single server and will be doing an in-place upgrade.
 
Exchange 5.5 won't run on Windows 2003. Exchange 2003 will run on Windows 2000 SP3 and later. You'll want to upgrade exchange first, then the OS.

 
xmrse's right... you'll have to upgrade the OS to Win2K SP3 first and then upgrade Exchange.

On your Exchange 2003 CD autorun splash screen, there is a link to deployment tools. Follow the links and it will walk you through the in-place upgrade. There are quite a few things you want to consider, such as when to run /forestprep and /domainprep, how to test DNS, etc... it's a great tool, and I'd recommend that you use it.
