I upgraded to 128RAM and it call for XMS Drivers... Any Suggestions??

It's not asking for drivers, it has detected a memory error on that stick of RAM. Either your new RAM is bad or needs to be re-seated good.

Yea thats what I think, too...But its a new stick...Couldnt there be some way to get the board to recognize RAM?

The board recognized that there was ram installed. This error message says that the installed memory is unreliable.
You could download memtest and confirm the problem.

I.d Like to, But I cant Boot. I just found out the Compaq Presario 2254 has Max Memory of 64MB, 32*2 So, IM SHOT!!!
