ISA installation with WIN2K Server, Active Directory, & Proxy

ok so i'm trying to understand this and i dont think im getting it right...

i attached an unfinished network setup and i was hoping someone here could finish it for me...let me try and explain how our office is set up...

we have a proxy server 2.0 box sitting outside the firewall...on this box also contains our IIS and ftp server...dumb we know, hence the upgrade =)...this is sitting on a win2k box...we have a win2k our primary domain controller following, which also carries our firewall, and our active directory setup...this dc is also our main network share box...now, we have a windows server 2003 hooked up to the network that is only running the oracle server...lastly we have an exchange server beyond that...and of course all workstations...

first question...does the ISA server need to sit on a Domain controller with active directory included if i want to the ISA to be integrated with the active directory schema? only one ISA server is needed...im just not sure how i can integrate it with active directory, which is sitting on another box running win2k server...
