fading sound

Does anyone know a way of fading sound out then back in again during the playing of a music track in a movie in MX. The sound starts at the beginning of a movie, runs for 2000 odd frames, but part the way through an Mpeg with sound comes in for about 100 frames, its at that point I want the backing track to fade out then back in again once the mpeg has finished....

Thanks for helping, the movie runs along the timeline on its own layer if thats what you mean. It was just imported onto a keyframe from wherever.

I'm sorry I don't understand your question. It was just a wav file or similar, that I imported. then dropped on a keyframe.
 
Well that's the sound you want to fade down when the video plays right?
Then it's either got to be a seperate soundObject so that you can control it's volume independently from the video's sound, or set it as a Sync "stream" sound so that you can physically fade it down when the video plays, and back up again when the video finishes...

A soundObject would probably easier to set up...
