Ok, i am totally lost and dont know where to turn. I finally have our exchange aware backup solution reporting in exchange so exchange is now happy that the logs are purged but exchange is still becoming unresponsive at times. It keeps showing these errors:

The MAD Monitoring thread was unable to connect to WMI, error '0x800705aa'.
Event ID 8031 repeats the most. Most of the app event log is all 8031 saying it cant open a connection. I have searched high and low and still cant figure out why its doing this. And once it starts about 24 hours later the server becomes unresponsive and you have to reboot it. Its like exchange just completely shuts down and doesnt respond.
Someone please tell me what is happening...
