Exchange 5.5 > 2000 and Active Directory

We are currently running Exchange 5.5 and Active Directory both on Win2k Server. We are looking into upgrading to Exchange 2000, while integrating it with Active Directory with ADC. What steps should we take first? Should we upgrade 5.5 to 2000 so all attributes stay the same first? Or should we install ADC on the exchange box first? Also, does AD need to be on the same box as Exchange for replication to occur? thanks
