Excel - comparison question 1

Hi,

As follows:

A B C D
1 Dept Status Finance
2 IT Pending
3 Finance Done
4 HR Pending
5 Finance Pending
6 Finance Done

I want to check row A2 to A6, when its name same as D1 and the status is pending. Then give me the total no. This case should be 1. How can I do that? Thanks!
