how can I create a distribution list in exchange as well as in outlook? (exchange for internal users and outlook for internet pop3 account replies)

On Exchange 2000 server open Active Directory Users and Computers.
Right-click where you want to place the distribution group.
Select "New" - "Group". Under group type select "Distribution"
Well, you know I have a pop3 account info@domain.com which many people round the world send emails to. Most of the time the response is the same and I want to make a list of these people to simplify my work, do you think I should make this group in my AD structure?! of course I do not get this account's emails from exchange yet (I am to do it) and just get them in my outlook so please tell me how should I configure it? and if you know how can I set exchange to receive these emails and send them to my inbox.

What you may need to look at are Outlook configurations instead of a distribution list in AD. To be more specific you should look at rules for the inbox. I don't have Outlook running, so I couldn't tell you exactly what to do. I will see if I can look into it and I will let you know.
