It sometimes runs at a high cpu load because we have a bum program that will eat processor load. Sometimes hitting 90-100%. If we kill the process the server load drops to normal levels.

Thank you for the fast & informative reply. One other question regarding the Exchange server. If I go the route of your first suggesting by loading NT as a BDC, upgrade to PDC then Win2K.... will users be okay authenticating to the Win2K server and getting access to the Exchange server?
