FATAL EXCEPTION OE ...0028:C0035D9D IN VXD IFSMGR(01) + 00002CAD

hIYA,
first off, here's the error msg again:
Fatal Exc. OE at 0028:C0035D9D in VXD IFSMGR(01) + 00002CAD
second, the background.
I'm working on a series of workstations for a "cyber cafe'" here in town. One is giving me trouble. I just upgraded it to Win98, was having some registry problems, ("windows has detected an error w/ your registry, click to restart and fix it"). But, I'm no longer getting that message. And, everything seems alright with the OS.
The real problem, (and where I get the error message) has to do with dialup networking.
If I remove all the modem drivers, get rid of my dialup netwerking settings, and restart; it will boot up fine, and find all the hardware. Then I can setup the dialup networking with the correct modem (ESS56T-PT). Everything works great, able to connect, etc.
The problem comes whenever the machine is rebooted. At which time, when I try to connect I get the blue screen of death, with the above message. When it gets out of the BSOD, its still trying to dial, and I have to end task...
from then on, it will always say that the modem is in use =(
If there is anyway I could avoid that Fatal Exception, I think the problem would be solved.

just another software conflict w/ win98.
