“option to upgrade not available because setup could not load F:\i386\WINNTURG\NETUPGRD.DLL"

Is that because you need to install online,to download set up file from web?

or because you cannot install from WK2 ?
 
no.
check if the file is really there where it looks for it.
I assume F: being your CDROM drive.

If this isn't a typo:

F:\i386\WINNTURG\NETUPGRD.DLL

which should be:

F:\i386\WINNTUPG\NETUPGRD.DLL

then perhaps your install media is bad.
 

You cannot upgrade from W2K to XP Home edition.>>>>this is XP pro,what if i use the W98 OS to install from??
 
Again, is the file really there where it should be?
Is the CD damaged, scratched? A copied CD is easily scratched.
