XP multiple load failures

Alright, I've mentioned this before and so far I can eventually get the thing to load but I have no clue as to why this happens:

About every two weeks, XP fails to boot up. I'll get the 'hal.dll missing or corrupt' error.
On sat morning I got a new one. 'Cannot load needed dll'
So, I do what I've normally done for the other error and tried to do an automated repair. Didn't work as it could not overwrite any dll files, and couldn't make a Windows\Repair dir. Oh well, I thought, this happens so many times I got back ups out the ying yang. So, I decide to reinstall.

Instead of foramtting the C drive I decided to just install overtop.
It had already recognized a previous install, so for kicks I did the old 'change the install dir'. It installed a couple of files, and about 10 seconds later rebooted, and I was back at my regular 'log in' screen.

I logged in, made another backup. And chose to 'shut-down'. Here's the new problem, it wouldn't shut down, it would just keep rebooting everytime I tried shutting down.

Now wtf is going on with xp? I mean isn't it enough that it hates my SATA drives making my life miserable every two weeks?

Any insight is appreciated as always.

It may be an idea to exclude as many processes as possible from starting (using MSCONFIG) to find the most resource consuming ones. The task manager may also indicate what is going on.
