won't shutdown + allways reset

Hi!
Her are my problems:
1.I have AMD PC with matsonic mainboard and atx power supply.Every time when i shutdown Windows 98se systems goes down successful but PWS does not turn power down.After few seconds it starts to go on/off at high rate(3-4 times per second).Every time i need to wait system to go down and then to manualy unplug power cord.Is it faulty power supply or mainboard?
2.I have Compaq deskpro 2000.Each time i shutdown windows 98se it restarts itself.What could be problem?Mainboard?I tested poer supply and it seems OK.

It is not that well known issue about w98se won't shutdown,
it is something else, pws, mainboard or wrong via 4 in 1 support.I can't reinstall windows because of certain reasons so i was wondering if someone allready had a same problem and found solution. Sleew
