WINDOWS FREEZE UP AFTER 1st RESTART DURING INSTALL

Having problem with mother board ID SE440BX-2 Purchased at Computer Show. I am an old gamer who builds his own systems. True gamers build their own. Have been doing this now for about 15 years. Frankly this is my first call for help.

CPU Information:

Genuine PIII 600MHZ
128 MB 100 Bus SDRAM
MAXTOR 10 GIG hard drive

Unable to load WIN98 or WINME. Have gone through the following steps:

1. Have set up BIOS per instructions and correctly set and reset Jumper JA81.

2. BIOS appears fine; with what appears to be an auto detect. Have exited and saved. Reset Jumper JA81 for normal operation.

One note about BIOS...there is no Audio Feature. In fact there is no Audio Output on the mother board. Made me think that this is not an SE440BX-2 but a SE440BX. So I checked BIOS information which is 454EB2X0.86A. And all documentation indicates that this is a SE440BX-2.

3. Noted that on INTEL WEB site an upgrade to BIOS. So after first failed attempts to load windows I upgraded BIOS from 454EB2X0.86A.0023.p16 to 454EB2X0.86A.0024.p17. All went well with upgrade. I again reinstalled Windows to no avail.

4. Removed all peripherals except video card and still system freezes up. Reset Video card and in DOS video seems to work fine. Video card = PNY GEFORCE-2 64 MB DDR RAM

5. Have removed and replaced computer SDRAM with different ram and still system freezes up. (Repeated this with several combinations.)

6. Have re-formatted hard drive and run diagnostics on hard drive and it works as it should. System still freezes.

7. Have uninstalled and reinstalled both WIN98 and WINME with no luck.

8. Specifics on problem:

Load WIN98 or ME. System works fine with WIN98 or ME startup disk. This gets me into DOS and I can run all diagnostic programs to my hearts content. Norton Disk Doctor, MAXBLAST Diagnostics, SCAN, FDISK all say my system is good.

So I load windows. All goes well until the first restart. System freezes up at 'Updating... standby while system configures your computer'. Well it says that it may take a few min so I let it sit for 30 and...well it's froze. Have repeated this process many times. Troubleshooting has gotten me nowhere. Need your assistance.

This product was brand new box was sealed and I have all warranty information. I'd just like to get my wife's computer up an running.

my opinion:
A)try using a different video card while installing windows.
B)overheating issue.-do you have thermal compound on cpu?
C)Motherboard is defective.

did you check out the intel website for info regarding your problem?
