folks can i upgrade from windows 98 to w2k??

Yes (but would recommend you back up, wipe drive and clean install 2k rather than running an actual upgrade, for future stability).
 
eventually thats what I'll do. For the minute I need to check out a VPN connection which will only run on W2K, The data on the Laptop is not important but I would prefer to keep it as is if possible.
The laptop stops responding when I opt to upgrade to w2k. Does 98 have to be at a certain patch level before I upgrade?

I don't think so (in fact I've done an upgrade on a new install of win98FE & SE - ie, no patches) - perhaps you have a hardware compatibility issue? You could try booting from 2k install CD and installing 'on top' without formatting the partition. Wouldn't be an upgrade - but should leave your data. If you have got a hardware issue, this may fail too of course (I notice the M$ tool which was available on their site to check 2k compatibility is no longer there).
