Win2k constantly re-starts setup after W98 upgrade

I've just upgraded a Win98 PC to Win2000 Pro SP3, upgraded the FAT32 disk to NTFS and each time it restarts it re-runs setup. The CD is out of the drawer (not set to boot from CD anyway), not seen this before but heard of it. Can anyone help please? Is there a fix? TechNet not very helpful.
