Win2003Server & NT 4.0 PDC Help

This should be common...

Currently have
1 NT 4.0 PDC w/
SQL 7.0
Exchange 5.5
CAD

It was too much and dated. I bought
1 Win2003 Server w/
Exchange2003

I can't get the two cohabitating. My Server2003 can't communicate with my NT4 PDC, Active Directory is giving me all sorts of errors.

What are the normal steps to get these two communicating with Active Directory so I can then migrate exchange 5.5 to the new server?
