memory: 32 or 64 mb, like you said, easy.
OS is easy also. You download the image from Cisco to your computer, then you do the actual upgrade via http from your computer. After you do the upgrade you can then specify the time that it reloads. You can put it to off hours if you want.
you can pull the config onto your computer prior to the upgrade in case a roll back is needed.
