I just discovered that I may not have been offered the Upgrade option on XP Pro due to having OEM version of Win2000 PRO. If this is true, does anyone no of a work around? I would hate to buy retail version of Win2000 to get upgrade install of XP. I built system myself, and bought OEM with the MB, and other components. Thanks for the help.

Have you got an old 9x installation CD floating around somewhere? When you do an install of XP it will just check for a qualifying product to make sure you qualify for an upgrade. Is this what you are talking about or have I misunderstood your question?

Had nothing to do with OEM. I should have installed when 2000 was up, instead of from booted CD ROM. Upgrade option not offered when booting to XP CD, only when other op system is up.
