Upgrade from Windows 2000 Domain to Server 2003 R2

Please let me know if I am thinking correctly here - somewhat new at this:

We have one W2K DC, Exchange 2003 Server, W2K file server, and some W2003SP1 member servers.

I want to:

Add the W2K file server as a 2nd domain controller - DCPROMO, right (or simply install Active Directory from "Configure your Server")?

I then want to take the domain to 2003R2.

I shouuld (on the schema master, 1st domain controller):
adprep /forestprep
adprep /domainprep
adprep /domainprep /gpprep

Install 2003R2 on the 1st domain controller (schema master).

Install 2003R2 on the 2nd domain controller

Do I have to upgrade all member servers to 2003R2 before I can go to 2003 native mode?
