A quick google search for 0xc0000142 return a slew of results...this one in particular caught my attention....

0xC0000142: DLL Initialization Failure
Its instances all appear to indicate that an application failed to initialize properly. Usually this is traceable to a DLL initialization failure.

Check yuo event log and see what application is not inializing properly....the return to google, here, or whereever to search for a solution ...

I had figured out that it was a .dll file!

I cannot open ANY application....not even dos and therefore cannot do ANYthing to solve the issue.

Looks like a rebuild

some of the refernces I notice included kernel-type dlls.....I have to agree with your rebuild....sorry. Only two things are infinite, the universe and human stupidity, and I'm not sure about the former. (Albert Einstein)
