Stupid upgrade question

I hate to ask this but...

I need to upgarde a 2000 standard server to 2003 standard. NO AD no DC.

This will be an inplace upgrade. Are there any simple instructions on this?

I already figured it out. The cd I was using was an OEM cd and the option for upgrade wasn't available.

Stupid question as I thought :)
