Site-Site VPN using Win2003 URGENT!!!

Hey All,
I checked, what feels like, every post on this site for an answer yet still dont have a solution. :(

I have two locations as follows

SPO
Win 2003 Server Running : AD,DHCP,DNS,IIS Etc Etc.
ISP Assigned Static IP : 202.22.22.22

Internal clients assigned via dhcp
192.168.1.25 - 192.168.1.45

Subnet Mask 255.255.0.0

LTP
Win 2003 Server Running : AD,DHCP,DNS,IIS Etc Etc.
ISP Assigned Static IP : 202.22.22.23

Internal clients assigned via dhcp
192.168.0.25 - 192.168.0.45

Subnet Mask 255.255.0.0

Both locations have identical Netgear routers that support VPN Pass Through.

We are in desperate need to setup a Site-Site VPN so both locations can share files / Resources. Etc. Eventually we will also set up a trust between domains over the VPN, But thats later down the track.

While I am a Techie and understand most services in depth I have no idea howto use Routing and Remote Access so will need fairly in depth help ;)

Why not use your routers to establish the VPN? worked for me!
 
The client has specifically noted it must be setup this way. Damn it :(
