Single NT Server to Single Win2k3 migration?

I have a single server with Win NT and nine workstations,(win98, win2000 and WinXP). The Server hardware is almost 8 years old and is finally going to be replaced by a Dell PowerEdge with Win2k3. The NT server will be retired after the new one is in place. What would the easiest way to do this?
