I want to replace MS Proxy Sever 2 with something else, but I ont realy know what with. I know ISA server is the MS replacement but is this just as bad ?. Does anyone have any other suggestions

Ever thought of squid? What size is your network? Can you give any more details?

I have approx 400 clients - using win9x/win2000 desktops.
MS proxy 2.0 is running on a win2000 server.
We also use Websense to control access to by NT user/groups.

Im not sure about this, check with websense, but I think you are limited to one of the proxy servers they support.
Below taken from websense.com
The following features have been added in v4.3.0:

CacheFlow (off-box deployment)
Check Point FireWall-1
Cisco Cache Engine
Cisco Secure PIX Firewall
CyberGuard Firewall
Inktomi Traffic Server
Microsoft ISA Server
Microsoft Proxy Server
Netscape Proxy Server
NetScreen
Network Appliance NetCache

Last year when I talked to their tech support, they had no plans on supporting Squid, but I was guessing that you could still use ANY socks server.
this is my favorite socks server, it runs on linux though (my personal favorite also)
