NET.EXE failed to initialize 0xc0000142

Nightly a W2K Server hangs with the message:

APPLICATION FAILED TO INITIALIZE PROPERLY
0xc0000142 - NET.EXE APPLICATION ERROR

Reboot the system and all is fine! If you reboot the system at least once a day the error does not occur, but if it left up it will error!
