New Installation of Exchange 2003 on Windows 200 domain.
MTA Stacks Services wont start.
Also SP2 Applied.

Have you tried to reinstall the SMTP service?
Microsoft has a technote regarding this issue, where they point at the possibility of a corrupt or missing SMTP-service.

Suggested solution: Reinstall the SMTP service on the problem server.

i have followed this steps already.
Reinstalled SMTP,NNTP and all IIS.
Reinstalled Exchange and Reapplied sp2.

same error on same services.
