Moving NT4 to 2K3 AD - No DNS

I have need to upgrade my PDC to a new box with Win 2K3 because I'm running out of resources for the fax server application running on it. In the process I'd like to go to a mixed-mode AD environment. We only have WINS here. I plan to do it like this:

1. Remove a BDC and take offline (for fallback server).
2. find a computer, install NT4, promote to PDC.
3. Upgrade sacrifical PDC to Win2K w/DNS
4. Upgrade my fax server to new box as Win 2K3 DC w/DNS
5. Move FSMO roles over to fax server
6. remove sacrificial server


Does this sound ok? Can I install in this order. Will the DNS be a problem? Any suggestions would be nice. TIA
