In XP Modem won't work-will not accept the specified driver!!

Hi folks its me again.
modem was working fine-installed a new hard drive. Loaded XP home. It recognised my external modem Supra Max 56K 2920- but it will not accept the driver to run it. It says that XP can't accept this driver. ive been through device manage, tried uninstall and reinstall- message says it can't accept driver because of (Code 39). Originally I lost the original driver and have got this driver off the internet. but Xp is not having it . What can I do? non of xp's drivers will work. Is my modem broken -messages say that its working properly(but no light is coming on) help.
 
Code 39 - Windows cannot load the device driver for this hardware. The driver may be corrupted or missing. (Code 39) Reasons for this error include a driver that is not present; a binary file that is corrupt; a file I/O problem, or a driver that references an entry point in another binary file that could not be loaded.
Uninstall the driver, and then click Scan for hardware changes to reinstall or upgrade the driver.
