We are adding a second Exchange 2003 server for the purposes of replicating the mailbox stores at an offsite location. Can any one help me get this done?

You don't and you can't. Not without help anyway.
DoubleTake and Neverfail are two apps that will do this.
If you want to completely replicate like that you either need Lotus Notes or Exchange 2007SP1 CCR on Windows 2008.

You got any steer on which way you're going to be able to go on this one?

Mark's right. Since (I'm assuming) that the first Exchange box is already in production, you can't do a cluster. With Exchange 2007, you have the LCR and CCR options, and soon, the SCR option.

DoubleTake and NeverFail do log shipping and allow a remote service to come online if the source server fails. Both take some work to get working correctly.

I have a 2 node active passive cluster in our data center connected to a Dell SAN. I thought SRS was only for 5.5 to 2000/2003. I am trying to replicate to a 2003 Server with Exchange also loaded across the wan for purposes of backup.

Thank you for the help

SRS? Pat said SCR which is a shiny new feature in 2007 SP1.
Talk to the SAN folk and see what replication they can off you. It's not a Dell SAN anyway, it's probably just a dinky little EMC box, probably a little lower than a Clariion box. Good option to aim for is to de-cluster then boot from SAN, then replicate all the LUNs on a schedule and then be able to bring the other box up on LUNs local to the replicated SAN.
If it was NetApp or IBM N Series I'd give you chapter and verse on it but I'm not up to speed on the low spec stuff you have.
