How do I setup a Group to allow Create New Accounts Only

Hi All,
I have a Bunch of Exchange servers over the Continent, I want to centralise who can create Exchange accounts, but I do Not want to Give them Exchange Admins.

How do I do this?

Another Question is What are the MINIMUM Groups that Exchange Needs to Operate - Are Domain Admins Required or can their level of Access be reduced (I have 36 Domain Admins and want to reduce what they can do to minimize impact around the globe)

Any suggestions appreciated.
