Exchange won't start on clean install

We've had to rebuild our server. It's NT 4.0 with SP6a. When we try to reinstall Exchange 5.5, it tries to start the services and we receive this message, "While attempting to start the Microsoft Exchange Transfer Agent service, the following error was encountered: the service did not respond to the start or control request in a timely fashion. Microsoft Windows NT ID no. 0xc002041d." We tried re-installing NT and then Exchange but received the same error. I think the ID number changes slightly. We've rebooted and tried installing Exchange again but received the same message.

Tried manually to start the Microsoft Exchange System Attendant but received the following message, "Could not start the Microsoft Exchange System Attendant service on \\Server. Error 0002: Could not file the file specified."

We thought the server might be screwed up so we tried it on another machine but received the same results.

Please, any ideas?
