Exchange 5.5 System Attendant not Starting?

A little bit of background to this issue, My External DC's hard drive failed. It was root of domain, this left my internal DCs orphaned. I have rebuilt external dc and internal dc..all dns is setup correctly and have had to demote my exchange box and re-add it back to the domain. I reset the service account for exchange and was given the message that I had been given permission to logon to the domain. Well when I try to start the system attendant I get the following. Event Id 7000 "Service Control Manager" The microsoft exchange system attendant service failed to start due to the following error. Access Denied. If anyone has seen this or know how to fix this, please let me know ASAP. I have checked microsoft site and no go.
