Exchange 5.5 Restore After Win2K Upgrade 1

Hi everyone! I'm looking for some advice, suggestions, ideas or any help in accomplishing the following.....
I have a NT 4.0 server that is running Exchange 5.5 that I am getting ready to upgrade to Win2K. Exchange will not be upgraded. I've done several upgrades in the past but none as of yet with Exchange in the mix. What is the best way to go about this? Somebody has mentioned to me that a in place upgrade might be the best. What does a in place upgrade entail? Another idea was to restore exchange after the upgrade is complete by copying the priv.edb, pub.edb and dir.edb. as well as Directory logs and Info. Store logs. Which is the best, safest, easiest way to accomplish this task? Any help is greatly appreciated. Like I said, this is a first for me so any help, suggestions or ideas are greatly appreciated. Thanks in advance to all that reply.

well, it's a complicated question without too much info:
1. is the new w2k server will be also exch2000 ?
2. how many users are at your company ?
3. do you have additional server ? or it will be the same machine ?

Hey Gator10,

I just recently went through the same upgrade and although I do not have my notes with me, here are some key points. I think what they mean by in-place means do not change the computer name. Also, as far as I've read, it is important to have the organization name and site name of the legacy Exchange install. When you reinstall Exchange 5.5 on the new machine, be certain to use those names. Reference:
