Check the actual speed of the RAM you are trying to install, we recently had the same problem and it was related to mixing DIMS with differing speeds.....you might also have to check the speed the Motherboard is expecting to see.............
I suggest SP6a unless you are using ppliations that dont support SP6. Also Edit your boot.ini and ensure there is NO /maxmem switch. If there is remove the switch. James Collins
