I have a fairly new XP Pro Notebook computer that has 2 partitioned drives C and D. Both are 40 gb.

I discovered, after installing all my software, the drives are FAT32.

Will I lose anything (programs & data) if I convert to NTFS using WIndows XP's Convert Tool?

Nope, although you should always backup before doing anything like that, I've done it countless times without any problems.

I'm Certifiable, not cert-ified.

CONVERT.EXE is solid as a rock in my opinion. My only cautiion is to run this on AC power and not battery. You really do not want a low battery condition with this utility.
