Certificate Authority Not working...

I've got a win2k domain with active directory. The domain controller is a certificate authority. I'm running exchange2000 and want to get an ssl certificate from my domain controller for seccure SMTP and POP3 communications. when I try to install the certificate using the wizard from the smtp or pop3 vertual server in the Exchange Management Console I get all the way through and then get...

"failed to install certificate"

"access denied"

under the event log on the exchange server I get the following...
