Adding a new Server

We currently have one server running as a file and print server and exchange. I want to add a second server just to handle the file and print side and use the old one for exchange. I have a few questions:

1. The Windows CAL Licences, do we have to buy another set for each worksation or just 1 copy of Windows 2000 for the server?

2. What kind of spec would you recommend for the new server (file and print, no large databases) for 60+ users? Can you get away with a celeron? Want to use active directory replication also as a backup.

3. The current server has the DLT Backup drive, will it be ok to backup the file and print server from here or use 2 backup drives for each one?
