2000/2003 AD domain

i need your advice. We have the following network setup running Win 2000 mixed mode:

1 x Win 2000 GC with DNS/DHCP
1 x Win 2000 DC
1 x Win 2003 DC
1 x Win 2000 with Exch 5.5

I want to replace the GC and DC with 2003 and raise the level to 2003 and run AD in 2003 mode.
What should i change or is there any other advice?
We wont be upgrading Exch 5.5
